1. THIS AGREEMENT will be made valid and binding and the dates secured when Sponsor pays HW a deposit of US$3000 with the balance due on or before completion of the seminar. Until the deposit is received other sponsors may bid for the same dates.

2. SEMINAR FORMAT: A free introductory lecture of 1.5 hours plus two consecutive workshop days from 9am to 5pm including a two-hour lunch break, unless modified by mutual agreement. A 3-hour mini-workshop may replace the introductory lecture if the sponsor so desires. A fee for this mini-workshop will be set by mutual agreement, and the income for this shall be included in the total income for the seminar.

3. SEMINAR FEE: The fee for each seminar shall be 50% of the gross income after VAT, sales tax or excise tax, if any, with a minimum payment of US$10,000 regardless of taxes, payable to Hunaworks by cash, US bank check, credit card (Visa, MC), or bank wire transfer. HW must be notified in advance of fee amounts charged to students.
a) Sponsor shall be responsible for all other local tax requirements.
b) Sponsor will pay HW US$500 for each additional lecture for advertising. King will be available for media interviews at no additional fee.
c) If the deposit is received less than 90 days before the event the base fee shall be increased by US$1000, if the seminar dates are still available.
d) Sponsor's financial obligation to HW shall not be affected by the non-payment or delayed payment of fees by students.
e) Deposits or payments can be wired to: Bank of Hawaii, Honolulu, Hawaii, for payment to Bank of Hawaii, Princeville, ABA#1213-01028; account name Huna International - Hunaworks Account #81-781621. The SWIFT code for international transfers is Bohius 77. Wire transfer fees must be paid by Sponsor in addition to the amount due HW.

5. TRAVEL & LODGING EXPENSES: HW shall pay all travel and lodging expenses for King.

6. PROMOTION & PRESENTATION COSTS: Sponsor agrees to be responsible for all costs associated with the promotion and presentation of the seminar, including advertising and room rentals. Media kit information will be available at www.huna.net/Media or by mail if necessary.

7. PRODUCTS: Sponsor shall provide a table for King to display and sell any products provided by HW which Sponsor has not already arranged to sell, including books and tapes authored by King. Sponsor must inform HW beforehand for this to apply.

8. AUDIO/VISUAL AIDS: Sponsor shall make available a device for playing music during the workshop as well as a means for displaying information to the students (flip chart, whiteboard, etc.).

9. CANCELLATION: If Sponsor cancels the seminar before 90 days from the course date HW shall deduct any travel and lodging costs already commited under this Agreement and return the remainder of any deposit. If Sponsor cancels after 90 days from the seminar date all deposits shall be forfeited. If HW cancels then all monies received from the Sponsor shall be refunded.
